These Terms of Use (“Terms”) govern your access to and use of the websites, pages and online tools operated by Voyage IP (the “Website”). By using the Website, you agree to these Terms. If you do not agree, do not use the Website.

Voyage IP is an independently owned intellectual property practice operating across multiple jurisdictions, including Singapore and Hong Kong.

2. Relationship to engagement terms

This Website is for general information and contact purposes only. If you become a client, our services will be provided under a separate engagement letter and Terms of Engagement. If there is any inconsistency, the engagement letter and Terms of Engagement prevail for client work.

3. No legal advice; no client relationship

Content on the Website (including articles, guides and tools) is for general information only and is not legal advice. Your use of the Website, including contacting us via forms or email, does not create a attorney-client relationship. Obtain professional advice tailored to your circumstances before making decisions.

4. Using the Website

We grant you a limited, revocable, non-exclusive licence to access and use the Website for your own internal business or personal purposes. You must not:

  • copy, scrape, crawl, mirror, frame or reproduce Website content except as permitted by law or by written permission;
  • bypass or interfere with security or access-control measures, probe or scan systems, or introduce malware;
  • use automated means to collect data (including harvesting email addresses) without consent;
  • use the Website in any way that could damage, disable or impair it, or interfere with others’ use.

5. Intellectual property

Unless stated otherwise, Voyage IP owns the intellectual property rights in the Website and its content. You may view and print reasonable extracts for legitimate use. You must not reproduce, distribute, sell, rent, sub-license or exploit Website content for commercial purposes without our prior written consent. “Voyage IP” and associated logos are our trade marks. All third-party marks belong to their owners.

6. User submissions and feedback

If you provide feedback, testimonials or other materials, you grant Voyage IP a non-exclusive, worldwide, royalty-free licence to use, reproduce and display that content for the purposes of operating, improving and promoting the Website and our services. Do not submit confidential information via the Website.

7. Third-party links and tools

The Website may link to or embed third-party sites, services or tools (for example, maps, analytics, scheduling or file-transfer utilities). We do not control and are not responsible for third-party content or terms. Your use of third-party services is at your own risk and may be subject to their terms.

8. Privacy and cookies

Your use of the Website is also subject to our Privacy Policy, which explains how we collect, use and protect personal data in accordance with the Personal Data Protection Act 2012 (Singapore) and the Personal Data (Privacy) Ordinance (Hong Kong). Our Privacy Policy includes cookie information and data subject rights.

The Website is provided “as is” and “as available”. We do not warrant that it will be uninterrupted, error-free or free of harmful components. Content is of a general nature and may not reflect the most recent legal or regulatory developments. No guarantee of outcomes is given; success in any matter depends on facts, law and decisions of relevant authorities.

10. Limitation of liability

To the fullest extent permitted by law, Voyage IP and its partners, employees and affiliates will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, data or business arising out of or in connection with your use of the Website.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited (including under Singapore’s Unfair Contract Terms Act and Hong Kong’s Control of Exemption Clauses Ordinance).  

11. Consumer law saver

These Terms do not affect rights that cannot be excluded under applicable consumer protection laws, including the Consumer Protection (Fair Trading) Act (Singapore) and any equivalent protections in Hong Kong.  

12. Electronic communications and e-signatures

You agree to receive communications electronically, and you consent to us using electronic records and signatures for Website-related notices and consents, consistent with the Electronic Transactions Act 2010 (Singapore) and the Electronic Transactions Ordinance (Hong Kong).  

13. Suspension and termination

We may suspend or terminate your access to the Website at any time, with or without notice, if we reasonably believe you have breached these Terms or to maintain the security or integrity of the Website.

14. Changes to the Website and to these Terms

We may update the Website and these Terms from time to time. The “Last updated” date shows the effective date. Continued use after changes take effect constitutes acceptance of the updated Terms.

15. Governing law and jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by Singapore law. You and we submit to the non-exclusive jurisdiction of the courts of Singapore. If you are domiciled in Hong Kong, you may also bring proceedings in the courts of Hong Kong.

For the avoidance of doubt, any client engagement is governed by the governing-law and jurisdiction clause in the applicable engagement letter.

16. General

If any provision is invalid or unenforceable, it will be severed and the remainder will remain in force. No failure or delay to enforce a right constitutes a waiver. You may not assign or transfer your rights under these Terms without our consent; we may assign to an affiliate or successor in connection with a reorganisation or sale. These Terms constitute the entire agreement between you and us regarding Website use.
